Terms of Service
These Terms of Service ("Terms") govern the provision of workshops, mentoring, coaching, facilitation, and related services ("Services") provided by Your Startup Partner Ltd (trading as SLAM dynamics) ("we", "us", "our") to clients ("you", "your").
By engaging our Services, you agree to these Terms.
1. Services
We provide professional development services including, but not limited to:
Team dynamics workshops
Leadership and executive mentoring
Team coaching and facilitation
Organizational development consulting
Training and speaking engagements
The scope of services will be agreed in writing prior to commencement.
2. Client Responsibilities
To enable effective delivery of our Services, you agree to:
Provide accurate information relevant to the engagement.
Ensure participants attend sessions respectfully and professionally.
Participate in good faith and engage openly in workshops and mentoring activities.
Provide timely access to information, facilities, and personnel where required.
3. Fees and Payment
Fees will be agreed in advance and outlined in a proposal, statement of work, or invoice.
A deposit of 50% of the Statement of Work total will be payable before the service has commenced.
Invoices are payable within 30 days of issue unless otherwise agreed.
Late payments may incur interest or suspension of services until payment is received.
4. Cancellation and Rescheduling
Workshops
Cancellations more than 14 days before a scheduled workshop may be rescheduled without charge.
Cancellations within 14 days may incur a fee of up to 50% of the agreed workshop fee.
Cancellations within 48 hours may incur the full workshop fee.
Mentoring Sessions
Individual mentoring sessions may be rescheduled with at least 24 hours' notice.
Sessions cancelled with less than 24 hours' notice may be charged in full.
We will make reasonable efforts to reschedule cancelled sessions where possible.
5. Confidentiality
We respect the confidentiality of information shared during workshops and mentoring engagements.
Both parties agree not to disclose confidential information obtained through the engagement except:
Where required by law;
Where disclosure is agreed in writing; or
Where there is a risk of serious harm to an individual or others.
6. Intellectual Property
Unless otherwise agreed in writing:
All workshop materials, frameworks, tools, presentations, and resources remain our intellectual property.
Clients may use supplied materials internally for their own development purposes.
Materials may not be copied, sold, published, or distributed externally without written permission.
7. Professional Boundaries and Disclaimer
Our Services are designed to support learning, leadership development, collaboration, and professional growth.
Our Services:
Are not psychotherapy, counselling, legal advice, financial advice, or medical treatment.
Do not guarantee specific business, personal, or financial outcomes.
Require participant commitment and engagement to achieve desired results.
Clients remain responsible for their own decisions, actions, and outcomes.
8. Limitation of Liability
To the extent permitted by law:
We shall not be liable for indirect, incidental, special, or consequential losses.
Our total liability for any claim relating to the Services shall not exceed the fees paid by the client for the specific engagement giving rise to the claim.
Nothing in these Terms excludes liability that cannot legally be excluded.
9. Recording and Use of Materials
Workshops or mentoring sessions may not be recorded by participants without prior written consent.
Any recordings made by agreement remain subject to applicable confidentiality and intellectual property provisions.
10. Termination
Either party may terminate an engagement upon written notice if:
The other party commits a material breach of these Terms; or
Continuing the engagement becomes impractical or inappropriate.
Fees for work already completed remain payable.
11. Changes to These Terms
We may update these Terms from time to time. The version in effect at the start of an engagement will generally apply unless otherwise agreed.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
